This End User Licence Agreement (“Agreement”) constitutes a legally binding contract between the purchaser (“Licensee” or “you”) and CREITIVE PTE. LTD. (“Licensor”, “we”, or “us”). By acquiring, downloading, or utilising any visual assets, templates, layouts, or digital materials (“Materials”) from Layoutloom, you formally accept the terms outlined within this Agreement.
1. GRANT OF LICENCE
Upon receipt of full payment, CREITIVE PTE. LTD. grants the Licensee a non-exclusive, non-transferable, and revocable right to utilise the Materials. The specific scope of usage depends entirely upon the licence tier acquired at the point of checkout: Personal Use Licence or Commercial Use Licence.
1.1 Personal Use Licence
The Personal Use Licence permits the Licensee to utilise the Materials strictly for individual, non-commercial projects.
- Permitted: Creating personal web projects, academic presentations, or hobbyist layouts where no financial transaction occurs.
- Restricted: You may not utilise the Materials for any client work, business marketing, or any product that generates revenue.
1.2 Commercial Use Licence
The Commercial Use Licence allows the Licensee to incorporate the Materials into commercial projects.
- Permitted: Incorporating the Materials into client deliverables, corporate websites, or commercial marketing collateral.
- Requirement: The Materials must be integrated into a broader, finished project. The downloaded assets must not constitute the primary standalone value of the final product being offered to end-users.
2. STRICTLY PROHIBITED USES
To protect the intellectual property of CREITIVE PTE. LTD., the following actions are strictly forbidden under both the Personal and Commercial Use Licences. The Licensee shall not:
- Resell or Redistribute: You are strictly prohibited from reselling, sub-licensing, distributing, or freely sharing the raw source files of the Materials.
- Offer as Templates: You may not repackage the Materials to offer them as downloadable templates, themes, or standalone digital assets on any competing website or repository.
- Claim Authorship: You must not claim the Materials, in their original or modified form, as your own creation.
- Transfer Rights: You may not transfer the rights granted under this Agreement to any third party without explicit written consent from CREITIVE PTE. LTD.
3. INTELLECTUAL PROPERTY RIGHTS
All copyrights, intellectual property rights, and ownership of the Materials remain entirely with CREITIVE PTE. LTD. The Licensee is purchasing a licence to use the Materials within the parameters of this Agreement, not purchasing the copyright to the Materials.
4. LIMITATION OF LIABILITY
The Materials are provided “as is”. While we endeavour to provide high-quality digital assets, we make no absolute statements regarding uninterrupted operation or specific outcomes resulting from the use of the Materials.
To the maximum extent permitted by applicable law, CREITIVE PTE. LTD. shall not be held liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Materials. In accordance with European consumer protection regulations and Singaporean law, our total liability shall be strictly limited to the exact purchase price paid by the Licensee for the specific Materials in question. Statutory rights applicable to consumers within their local jurisdictions remain unaffected.
5. TERMINATION
CREITIVE PTE. LTD. reserves the right to terminate this Agreement immediately if the Licensee breaches any of the outlined terms. Upon termination, the Licensee must cease all use of the Materials immediately and destroy all copies (both digital and physical) in their possession.
6. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Singapore. For Licensees residing within the European Union, mandatory local consumer protection regulations may also apply and govern specific aspects of this transaction.
